These Terms of Service ("Terms") govern your access to and use of BackQuant's website, products, and services. By using our services, you agree to these Terms. Please read them carefully.
1. Acceptance of Terms
By accessing or using BackQuant ("the Service"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree to these Terms, you may not use the Service.
These Terms apply to all users of the Service, including visitors, registered users, and subscribers. Additional terms may apply to specific features or services, which will be presented to you when you access those features.
2. Eligibility
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that:
- You are at least 18 years old
- You have the legal capacity to enter into a binding agreement
- You are not prohibited from using the Service under any applicable laws
- You will comply with these Terms and all applicable laws and regulations
3. Description of Service
BackQuant is a software technology company that provides data visualisation tools, indicators, and analytical software for market research and analysis. Our services include:
- BackQuant Terminal: A web-based platform providing market data visualisation, including GEX, options analytics, perpetuals data, macroeconomic indicators, and equities information
- BackQuant API: Programmatic access to BackQuant data and analytics, available to subscribers on eligible API-tier plans
- TradingView Indicators: Custom indicators and scripts available on the TradingView platform, included with eligible subscription plans
- Educational Content: Articles, guides, and resources about market analysis
BackQuant is not a financial institution, broker, investment advisor, or regulated financial services provider. We do not execute trades, manage funds, or provide personalised financial advice.
4. User Accounts
To access certain features of the Service, you must create an account. When you create an account, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Not share your account or login credentials with others
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorised access or use of your account
You may only have one account. We reserve the right to suspend or terminate accounts that we reasonably believe are duplicates or are being used in violation of these Terms.
5. Subscriptions and Billing
5.1 Subscription Plans
BackQuant offers paid subscription plans that provide access to premium features, including the BackQuant Terminal. Subscription details, pricing, and features are described on our pricing page and may be updated from time to time.
5.2 Billing Cycles
Subscriptions are available on monthly and annual billing cycles. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
5.3 Payment Processing
All payments are processed securely through Stripe. By subscribing, you authorise us to charge your payment method for the subscription fees. BackQuant does not store your credit card or payment details — all payment information is handled directly by Stripe in accordance with their terms and security standards.
5.4 Failed Payments
If a payment fails, we may attempt to process the payment again. If payment cannot be collected, your access to paid features may be suspended until payment is successfully processed. We may also suspend or terminate your account if payment issues persist.
5.5 Price Changes
We reserve the right to change subscription prices at any time. If we change the price of your subscription, we will notify you in advance. Price changes will take effect at the start of your next billing period. If you do not agree with the new price, you may cancel your subscription before the change takes effect.
5.6 Subscription Plan Types
BackQuant offers subscription plans at different tiers. Unless explicitly stated otherwise in a separate Enterprise Agreement, the following applies:
- Terminal Access (Monthly): Single-user personal licence for use of the BackQuant Terminal
- Terminal Access (Yearly): Single-user personal licence for the BackQuant Terminal plus access to BackQuant TradingView indicators
- API Access (Monthly / Yearly): Single-user personal licence for the BackQuant Terminal, TradingView indicators, and non-commercial API access
- Enterprise: Subject to a separate Enterprise Agreement; may permit commercial use, team access, and extended rights

6. Cancellation and Refunds
6.1 Cancellation
You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:
- Your subscription will remain active until the end of your current billing period
- You will retain access to paid features until your subscription expires
- Your subscription will not renew at the end of the billing period
- No partial refunds will be issued for unused time in the current billing period
6.2 Refund Policy
General Policy: Subscription fees are non-refundable. We do not offer refunds for partial subscription periods, unused features, or change of mind.
Exception — Service Disruption: If you experience a significant loss of service due to issues on our end (extended outages, major feature unavailability), you may be eligible for a pro-rated refund for the affected period. To request a refund due to service disruption, contact us at admin@backquant.com with details of the issue.
Refund requests are evaluated on a case-by-case basis at our discretion. We reserve the right to deny refund requests that do not meet our criteria.
7. Communications
7.1 Service Communications
By creating an account, you agree to receive essential service communications from BackQuant, including account notifications, billing updates, security alerts, and important changes to the Service.
7.2 Feedback and Improvement Emails
If you cancel your subscription, we may send you a limited number of emails requesting feedback about your experience with the Service. These communications help us improve our products and are sent in our legitimate interest to understand why users leave and how we can do better.
You may opt out of these feedback emails at any time by:
- Clicking the unsubscribe link included in any such email
- Contacting us at admin@backquant.com to request removal from feedback communications
Opting out of feedback emails will not affect essential service communications related to your account.
8. Free Services
We may offer certain features or content at no charge ("Free Services"). Free Services are provided "as is" without any warranties or guarantees. We reserve the right to:
- Modify, limit, or discontinue Free Services at any time without notice
- Convert Free Services to paid features
- Impose usage limits or restrictions on Free Services
- Require registration or account creation for Free Services
9. Prohibited Uses
You agree not to use the Service in any way that:
- Violates any applicable law, regulation, or these Terms
- Infringes on the intellectual property or other rights of any party
- Attempts to gain unauthorised access to any part of the Service or its related systems
- Interferes with or disrupts the Service or servers or networks connected to the Service
- Uses automated means (bots, scrapers, spiders) to access or collect data from the Service
- Reverse engineers, decompiles, or disassembles any part of the Service, or attempts to reconstruct any proprietary model, algorithm, indicator, or analytical methodology used in the Service
- Uses outputs, signals, charts, or data from the Service to train, build, calibrate, or improve any model, algorithm, or analytical system
- Systematically records or aggregates Service outputs for the purpose of model development or replication
- Shares, resells, or redistributes your account access or subscription
- Uses the Service to develop a competing product or service
- Harasses, abuses, or harms other users
- Submits false, misleading, or fraudulent information
- Uploads or transmits viruses, malware, or other malicious code
We reserve the right to investigate and take appropriate action against anyone who violates these prohibitions, including removing content, suspending or terminating accounts, and reporting to law enforcement.
10. Intellectual Property
The Service and all content, features, and functionality (including but not limited to software, code, designs, text, graphics, logos, and data visualisations) are owned by BackQuant or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial use.
You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any content without our prior written consent. For licensing enquiries, contact admin@backquant.com.
11. Licence Terms and Permitted Use
11.1 Personal, Non-Commercial Licence
Unless you hold an active Enterprise plan governed by a separate written agreement, your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own personal, non-commercial purposes only. All non-Enterprise plans — including Terminal Access (Monthly), Terminal Access (Yearly), API Access (Monthly), and API Access (Yearly) — are strictly personal licences.
For the purposes of these Terms, "commercial purpose" includes, without limitation:
- Trading, investing, or managing assets on behalf of any other person, client, fund, or entity
- Operating or contributing to any paid newsletter, signal service, research publication, or subscription product that incorporates BackQuant data or outputs
- Providing financial advisory, consulting, or analytical services to clients where BackQuant outputs inform or support those services
- Embedding or presenting BackQuant data or outputs in any product, platform, or service offered to third parties
- Any activity from which you or a third party derives direct or indirect financial benefit through the use of BackQuant data or outputs
Under a personal licence, you may not:
- Use the Service, or any data, signals, outputs, or content derived from it, for any commercial purpose as defined above
- Redistribute, resell, sublicense, or otherwise provide access to the Service or its data to any third party, with or without charge
- Incorporate Service outputs into any commercial product, tool, publication, or paid service
- Use the Service on behalf of a business, employer, or third-party client
- Use the Service to generate outputs that are then sold, licensed, or monetised in any form
- Publish, broadcast, or distribute Service outputs publicly without appropriate attribution to BackQuant (see Section 11.6)
If you are unsure whether your intended use qualifies as commercial, contact us at admin@backquant.com before proceeding. Proceeding without confirmation does not constitute authorisation.
11.2 Single-User Licence
Each subscription is issued to a single named individual and is non-transferable. Subscriptions may not be shared, pooled, or used simultaneously or sequentially by more than one person. Permitting any other individual to access your account or use your credentials is a material breach of these Terms and may result in immediate termination of your account without refund.
11.3 TradingView Indicator Access
Access to BackQuant's TradingView indicators is granted solely for your personal use on a single TradingView account registered to you. You may not transfer, share, or facilitate access to these indicators for any other person. Indicator access is linked to one TradingView username per BackQuant account, and you may only update this username once every 30 days.
11.4 Enterprise, Commercial, and White Label Licensing
BackQuant offers commercial and white label licensing arrangements for organisations and individuals who require use beyond the scope of a personal licence. These arrangements are governed by a separate written agreement and may permit, subject to negotiated terms:
- Enterprise Access: Multi-user access for teams or organisations, commercial use of data and outputs, and integration into internal tools or workflows
- Data Redistribution: Licensing of BackQuant data or outputs for inclusion in third-party products or services
- White Label Solutions: Deployment of BackQuant technology or data under your own brand, with or without BackQuant attribution, as agreed in writing
- API Commercial Use: Use of the BackQuant API to power commercial products or serve multiple end users
No commercial, redistribution, or white label rights are granted by default under any standard subscription plan. All such use requires a separate written agreement executed by BackQuant. In the absence of such an agreement, all subscribers — including those on Enterprise plans — are bound by the personal licence restrictions in these Terms.

11.5 Prohibition on Reverse Engineering of Proprietary Models and Methodologies
BackQuant's analytical models, algorithms, indicators, signal logic, scoring methodologies, and data processing workflows (collectively, "Proprietary Methodologies") constitute valuable confidential intellectual property. By accessing the Service — regardless of plan, including free trials — you acknowledge this and agree that you will not:
- Attempt to reverse engineer, decompile, reconstruct, or derive the underlying logic, calculation methods, weightings, parameters, or source code of any Proprietary Methodology
- Use the outputs, signals, charts, visualisations, or data produced by the Service as training data, calibration data, or reference data for building, training, or improving any model, algorithm, or analytical system
- Attempt to replicate, clone, or produce a substantially similar system to any BackQuant product by observing its outputs, signals, or behaviour over time
- Systematically record, log, or aggregate Service outputs for the purpose of model development or replication, whether for personal or commercial use
This restriction applies to all users and all plans, including Enterprise plans, unless BackQuant has granted explicit written permission to do so. Breach of this clause may constitute misappropriation of trade secrets and/or infringement of BackQuant's intellectual property rights.
11.6 Attribution
Where your use of the Service is otherwise permitted under these Terms and involves sharing, publishing, or displaying any outputs, charts, signals, or data derived from the Service in any public or semi-public context (including social media, forums, publications, presentations, or websites), you must:
- Clearly attribute the output to BackQuant by including the text "via BackQuant" or "Source: BackQuant (backquant.com)" in reasonably close proximity to the output
- Not remove, obscure, or alter any BackQuant branding, watermarks, or attribution markers embedded in or displayed on any output
- Not present BackQuant outputs as your own independent analysis without attribution
Attribution does not grant any additional rights beyond those already permitted under your plan. Sharing attributed outputs does not constitute permission to use those outputs for commercial purposes. White label arrangements governed by a separate written agreement may modify or waive attribution requirements.
12. API Access Terms
12.1 Eligibility
API access is available to subscribers on eligible plans (API Access Monthly, API Access Yearly, and Enterprise). API access is not included in Terminal Access plans.
12.2 API Keys
Upon activating an eligible plan, you may generate API keys through your account dashboard. API keys are personal and non-transferable. You are solely responsible for maintaining the security of your API keys. You must not:
- Share, publish, or expose your API keys in any publicly accessible location, including code repositories, forums, or websites
- Transfer or sell your API keys to any third party
- Use a single API key to serve multiple end users or applications on behalf of others
If you believe your API key has been compromised, you must revoke it immediately and generate a new one. BackQuant is not liable for any unauthorised use of your API key resulting from your failure to keep it secure.
12.3 Permitted API Use
Unless you hold an active Enterprise plan with a written agreement permitting otherwise, API access is for your personal, non-commercial use only. You may not:
- Resell, redistribute, or sublicense data or outputs obtained via the API to any third party
- Build commercial products, services, or tools that deliver BackQuant API data to end users
- Use the API to serve data to multiple users, whether directly or indirectly
- Aggregate, repackage, or republish API data in any form for commercial gain
12.4 Rate Limits and Fair Use
API usage is subject to rate limits as specified in your plan. You must not attempt to circumvent, bypass, or artificially inflate API usage beyond your plan's limits. Excessive or abusive usage that impacts service availability for other users may result in temporary suspension or permanent revocation of API access.
12.5 Revocation
We reserve the right to revoke API access or deactivate API keys at any time if we reasonably believe they are being used in violation of these Terms, including but not limited to sharing, reselling, or commercial use without an Enterprise agreement.
12.6 Commercial API Use
For commercial use of the BackQuant API — including building products, serving multiple end users, or redistributing data — contact admin@backquant.com to discuss an Enterprise agreement.
13. Third-Party Services
The Service integrates with or relies on third-party services, including:
- TradingView: Some BackQuant tools are available as TradingView indicators
- Stripe: Payment processing for subscriptions
- Data Providers: Market data is sourced from third-party providers
- Authentication Providers: Account authentication services
Your use of third-party services is subject to their respective terms and privacy policies. BackQuant is not responsible for the availability, accuracy, or conduct of any third-party services.
We may add, modify, or remove third-party integrations at any time without notice.
14. Data and Accuracy
All market data displayed in BackQuant products is sourced from third-party providers. While we strive to provide accurate and timely information:
- We do not guarantee the accuracy, completeness, or timeliness of any data
- Data may be delayed, contain errors, or have omissions
- Data should not be relied upon for making financial decisions without independent verification
- Historical data and backtested results do not guarantee future performance
You are solely responsible for verifying any data independently before making any financial decisions.
15. Financial Disclaimer
Trading and investing in financial markets is inherently risky. You can lose some or all of your capital.
The information provided through BackQuant is for educational and informational purposes only. Nothing on this website or in our products constitutes financial advice, investment advice, trading advice, or any recommendation to buy, sell, or hold any asset. All trading and investment decisions are made at your own risk.

16. Service Availability and Modifications
We strive to maintain the availability of the Service, but we do not guarantee uninterrupted access. The Service may be unavailable due to:
- Scheduled maintenance and updates
- Unscheduled technical issues or outages
- Third-party service disruptions
- Events beyond our reasonable control
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may add new features, change existing features, or remove features from the Service. We will not be liable for any modification, suspension, or discontinuation of the Service.
17. Limitation of Liability
To the fullest extent permitted by law, BackQuant and its owners, employees, affiliates, and licensors shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Trading or investment losses
- Damages arising from service interruptions or data inaccuracies
- Damages arising from your use of or inability to use the Service
- Damages arising from any third-party services or content
In no event shall our total liability exceed the amount you paid to BackQuant in the twelve (12) months preceding the claim, or one hundred Australian dollars (AUD $100), whichever is greater.
18. Indemnification
You agree to indemnify, defend, and hold harmless BackQuant and its owners, employees, affiliates, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your trading or investment decisions.
19. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Non-payment of subscription fees
- Extended inactivity
- Request by law enforcement or government agencies
- Discontinuation of the Service
Upon termination, your right to use the Service will immediately cease. We may delete your account and any associated data. We will not be liable to you or any third party for any termination of your access.

20. Dispute Resolution
If you have a dispute with BackQuant, we encourage you to contact us first at admin@backquant.com to attempt to resolve the dispute informally.
Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with Australian law, unless you are entitled to make a claim in a small claims court. You agree that any arbitration or legal proceedings will be conducted on an individual basis and not as a class action or representative proceeding.
21. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Australia for the resolution of any disputes arising out of or relating to these Terms or the Service.
22. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
23. Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, and Disclaimer, constitute the entire agreement between you and BackQuant regarding the Service. These Terms supersede any prior agreements or understandings, whether written or oral.
24. Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by BackQuant.
25. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the "Last updated" date.
Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service.
